As the first step in the incorporation process, we provide our clients with FREE consultation
on the selection of an entity for their business. There are significant differences between, for
example, a “C” Corp., an “S” Corp. and an LLC. We will discuss the pros and cons of
various types of entities so that our clients can choose the right structure for their business
and know in advanced the tax and other consequences of the entity they will choose.
When we incorporate a business, we do a complete job, so that our clients don’t have to
worry if certain requirements have been met or not.
We provide the following services, as a minimum, when incorporating a business:
• Filing the Articles of Incorporation with the Secretary of State’s office,
• Obtaining the Federal ID number (EIN) from the IRS for the new entity
• Preparing the Minutes of the First Meeting of the Board of Directors
• Preparing the corporate By-law or Management Agreement, as the case may be.
• Ordering the printing of the corporate Stock Certificates.
• Requesting the “S” corporation status from the IRS, in case of a Sub-chapter “S”
Corporation.
• Ordering an “Executive edition” Corporate Book.
• Filing the Annual Registration Statement with the Secretary of State’s office.
• Providing detailed written guidelines to the client as to how to operate the corporation.
